NON-DISCLOSURE AGREEMENT

Between:

The CRG Mystery Shopping (CRG MS),
with an office address at: 301 Moodie Drive, Suite 325, Nepean, Ont. K2H 9C4

and

("Recipient"),
with an address at:

DEFINITIONS:

"Activity" shall mean any discussions and exchange of information between CRG MS and the Recipient related to Mystery Shopping activities for any CRG MS clients.

"Confidential Information" shall mean any business, marketing, technical, scientific, methodological or other information which could reasonably be considered as confidential and is disclosed by CRG MS, or its clients in association with the activity in any form or medium, whether or not designated orally, visually or in writing as confidential (or like designation) at the time of disclosure.

TERMS:

CRG MS and Recipient are engaged in discussions and/or other activities which may involve disclosure of certain information to Recipient by CRG MS, and hereby agree to:

  1. Any Confidential Information received by Recipient shall be retained in confidence, and used only in connection with the Activity. Recipient shall use the same degree of care as it uses to protect its own confidential information of a similar nature, but no less than reasonable care, to prevent the unauthorized disclosure, use, dissemination or publication of the Confidential Information including the divulgation of the Mystery Shopping activity itself or of the name of the client or client organization for which CRG MS carries out a Mystery Shopping activity.

  2. This Agreement shall apply in respect of disclosures made during the period of one (1) year following the date of execution set forth below or any earlier date set by CRG MS and communicated to the recipient by normal mail, fax or e-mail.

  3. Recipient shall not be bound by the obligations restricting disclosure and use set forth in this Agreement with respect to Confidential Information, or any part thereof, which:
    1. was known by the Recipient prior to disclosure, as evidenced by its business records;
    2. was lawfully in the public domain prior to its disclosure, or becomes publicly available other than through a breach of this Agreement;
    3. was disclosed to Recipient by a third party provided such third party or any other party from whom such third party receives such information is not in breach of any confidentiality obligation in respect of such informational;
    4. was independently developed by Recipient prior to this agreement, as evidenced by its business records; or
    5. is disclosed when such disclosure is compelled pursuant to legal, judicial, or administrative proceeding, or otherwise required by law, subject to the Recipient giving all reasonable prior notice to CRG MS to allow it to seek protective or other court orders.

  4. Upon request from CRG MS, Recipient shall immediately return to CRG MS all Confidential Information and copies thereof, or if directed by CRG MS, shall immediately destroy such confidential information and all copies, and shall furnish proof of their destruction to CRG MS.

INDEPENDENT CONTRACTOR AGREEMENT

It is agreed by and between CRG Mystery Shopping Ltd., an Ontario Limited Liability Company and the applicant that his or her role in the relationship to CRG Mystery Shopping Ltd. will be that of an Independent Contractor.

It is specifically clear and understood between CRG Mystery Shopping Ltd. and the applicant that said applicant will not be treated as an employee, but rather only as a contractor for federal and provincial tax purposes and any personal or general liability insurances, including automobile insurance for work purposes. The applicant is responsible for all tax and other compulsory payments required by the various governments.

It is the responsiblity of each "contractor" to operate in a complete independent status. There are no requirements nor office responsibilities other than those needed in the normal course of the business. A contractor may refuse any business that is offered him or her.

No business will be offered to the applicant unless he/she submits and agrees to a confidentiality, non-disclosure agreement which will be deemed to apply for all business entered into subsequently and to be part of this agreement. Any breach of the terms of this agreement will automatically terminate the business agreement and may result in legal pursuit originating with CRG Mystery Shopping Ltd. and/or its client(s).
